Preface
At Logeestico Ltd ("Logeestico", "we", "us", or "our"), we provide a technology platform that enables logistics businesses and customers to manage logistics operations more efficiently. These Merchant Terms of Service ("Terms") govern your access to and use of our platform, including the Logistics Management System (LMS), Driver Route and Package Handling System, and any related services (including future on-demand or hailing features). By using our services, you agree to comply with these Terms and acknowledge that Logeestico operates solely as a technology service provider, not as a logistics carrier, broker, bank, or financial institution.
About Us
Logeestico Ltd is a logistics technology company offering a Software-as-a-Service (SaaS) platform that supports logistics businesses in managing orders, shipments, drivers, fleets, routes, and customer interactions. Logeestico does not own, operate, or control any vehicles, warehouses, drivers, or logistics operations. We do not transport goods, guarantee delivery outcomes, or assume responsibility for the quality, legality, or safety of services rendered through the platform. All logistics services are provided independently by merchants, drivers, or third-party operators using Logeestico's technology.
Independent Contractor Relationship
Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between Logeestico and any merchant, driver, or user. All merchants and drivers operate as independent contractors and are solely responsible for:
- Their personnel
- Compliance with labor, tax, insurance, and regulatory obligations
- The execution of logistics services
Logeestico shall not be liable for acts, omissions, or misconduct of merchants, drivers, or third parties.
Know Your Customer (KYC) & Compliance
You are solely responsible for verifying the identity, authority, and legitimacy of your customers and ensuring that all transactions initiated through your account are lawful. You must maintain accurate records, proof of service, and delivery confirmations. In the event of a dispute, Logeestico may request supporting documentation but assumes no obligation to resolve customer disputes on your behalf.
Customer Transactions
Logeestico provides tools to facilitate logistics transactions but does not guarantee fulfillment, payment, or enforceability of any order. You are fully responsible for:
- Service execution
- Customer communications
- Complaints, cancellations, failed deliveries, and disputes
Pricing & Subscription Fees
You agree to pay applicable subscription and usage fees as outlined on the Logeestico pricing page or within your account. Fees may include recurring subscriptions, transaction-based charges, or usage tiers. Logeestico may revise pricing with at least 5 days' notice. Continued use of the platform constitutes acceptance of updated pricing.
Payments, Funds & Settlement (If Applicable)
Logeestico is not a bank, financial institution, or payment service provider. Where payment or settlement features are enabled:
- Logeestico acts solely as a technical intermediary
- Funds may be processed or held temporarily via licensed third-party payment processors
- Funds are disbursed according to platform rules, minus applicable fees, chargebacks, or deductions
You acknowledge that:

You acknowledge that:
- Funds held are not deposits
- No interest accrues on held funds
- Payment services are subject to third-party terms and availability
Chargebacks, Disputes & Reserves
You are fully responsible for all chargebacks, reversals, refunds, and related fees. Logeestico may:
- Withhold payouts
- Debit outstanding balances
- Place temporary reserves in cases of elevated risk, fraud, or regulatory concern
Disclaimer of Warranties
The platform is provided "as is" and "as available." To the maximum extent permitted by law, Logeestico disclaims all warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Uptime, availability, or uninterrupted access
- Accuracy of data, routes, or system recommendations
We do not guarantee that the platform will be error-free or uninterrupted.
Limitation of Liability
To the fullest extent permitted by law:
- Logeestico shall not be liable for indirect, incidental, consequential, or special damages, including loss of revenue, profit, data, or business opportunities.
- Logeestico's total cumulative liability arising from or related to these Terms shall not exceed the total fees paid by you to Logeestico in the three (3) months preceding the claim.
Force Majeure
Logeestico shall not be liable for delays or failure to perform resulting from events beyond reasonable control, including but not limited to:
- Natural disasters
- Government actions
- Internet or infrastructure failures
- Labor disputes
- Pandemics or public emergencies
Termination
You may terminate your account at any time. Logeestico may suspend or terminate access if:
- These Terms are breached
- Required by law or regulation
- Fraudulent or suspicious activity is detected
Restricted Activities
You agree not to use the platform for unlawful, fraudulent, or prohibited activities, including the transportation of restricted or illegal goods. Violations may result in immediate suspension or termination.
Indemnification
You agree to indemnify and hold harmless Logeestico, its officers, employees, and affiliates from claims, losses, or liabilities arising from:
- Your use of the platform
- Your services or transactions
- Breach of these Terms
Governing Law & Jurisdiction
These Terms shall be governed by the laws of the jurisdiction in which the relevant Logeestico operating entity providing the services is registered. Disputes shall be resolved exclusively in the courts of that jurisdiction.
Severability
If any provision of these Terms is deemed unenforceable, the remaining provisions shall remain in full force and effect.
Changes to These Terms
We may update these Terms from time to time. Continued use of the platform after updates take effect constitutes acceptance of the revised Terms.
