At Logeestico Ltd (“Logeestico”, “we”, “us”, or “our”), we are committed to protecting your privacy and ensuring your data is handled securely and responsibly. This Merchant Terms of Service outlines how we operate our services, your responsibilities as a user of our platform, and how we handle payments, transactions, and disputes. This applies to your use of our Logistics Management System (LMS), Driver Route and Package Handling System, and the upcoming UBER-like logistics hailing service.
About Us
Logeestico Ltd is a logistics technology company offering a Software-as-a-Service (SaaS) platform that streamlines operations for logistics businesses. We provide AI-powered solutions to simplify order creation, shipment tracking, fleet coordination, and route optimization. Our platform is provided as an independent service to our users. We do not endorse or assume liability for the goods or services transported or ordered through our system. Users are solely responsible for transactions and service fulfillment.
Know Your Customer
You are responsible for verifying the identity and legitimacy of your customers and ensuring they are authorized to initiate transactions or requests on your platform. You must maintain proof of deliveries and services provided. In cases of dispute, you may be required to present these documents to Logeestico.
Customer Transactions
You may only process logistics service requests that are authorized by your customers. Logeestico provides a platform for managing these transactions but does not guarantee completion or enforceability of any customer order. You are solely responsible for handling customer complaints, returns, or failed deliveries.
Pricing & Subscription Fees
You agree to pay Logeestico for access to our platform and services as per the subscription plan selected. Our pricing is detailed on the [Pricing Page] of our website and may include fixed monthly fees, per-transaction fees, or usage-based tiers. All fees are inclusive of VAT and applicable service charges. Logeestico reserves the right to revise pricing with at least 5 days’ notice.
Payouts (if applicable)
Where applicable (e.g., in future versions involving payment disbursements, such as for our logistics hailing service), Logeestico will remit funds to your nominated bank account minus applicable fees, chargebacks, or deductions. You authorize us to debit your bank account where fees or penalties are outstanding.
Handling of Funds
You authorize Logeestico to hold and manage funds associated with transactions conducted via our platform, where such functionality is provided (e.g., hailing service). Funds will be held securely and disbursed according to the terms outlined in your user account. You are not entitled to interest on any funds held temporarily by Logeestico.
Security & Fraud Controls
Logeestico implements robust security protocols to protect your data. While we take all reasonable measures to secure our systems, we cannot guarantee complete immunity from unauthorized access or breaches. You agree to implement your own safeguards and notify us immediately in the event of suspected fraudulent activity.
Notification of Errors
You must promptly notify us of any discrepancies or errors discovered in your transaction records. Failure to notify Logeestico within 45 days will be deemed a waiver of any rights to reimbursement or correction.
Chargebacks & Disputes
Chargebacks may occur when a customer disputes a logistics service charge. You are solely responsible for all chargebacks and any associated fees or penalties. Logeestico may recover these amounts by debiting your account or withholding payouts.
Reserves (if applicable)
In high-risk or suspicious cases, Logeestico reserves the right to place a reserve on your account by withholding a percentage of your payouts for a defined period. You grant us a lien over those funds to secure your obligations under this Agreement.
Refunds & Customer Service
You are responsible for managing returns, cancellations, or refunds for your services. Logeestico is not obligated to intervene in disputes between you and your customers unless a platform-related issue is identified.
Termination
You may close your Logeestico account at any time. We may suspend or terminate your account if:
- You breach any terms of this Agreement,
- Required by law or regulatory authority,
- Fraudulent or suspicious activity is detected.
Restricted Activities & Acceptable Use
You agree not to use Logeestico services for illegal activities or in ways that harm our platform or reputation. Prohibited activities include (but are not limited to):
- Providing false information,
- Evading monitoring systems,
- Violating IP laws,
- Engaging in logistics of illegal or restricted goods.
Violations may result in suspension or termination of your account.
Indemnification
You agree to indemnify and hold harmless Logeestico Ltd, its officers, employees, and affiliates from any claims, losses, or liabilities resulting from:
- Your use of our platform,
- Your services or transactions,
- Your breach of these terms.
Dispute Resolution and Governing Law
This Agreement shall be governed by the laws of the Federal Republic of Nigeria (or specify another applicable jurisdiction if Logeestico is registered elsewhere). Any disputes shall be resolved in Nigerian courts or another specified venue, and claims must be initiated within one year of the issue.
Changes to the Agreement
We reserve the right to update or modify this Agreement at any time. Notice of changes will be provided in a manner deemed appropriate by Logeestico. Continued use of Logeestico services after the effective date of any changes constitutes your acceptance of the updated Agreement.
Exclusions & Limitations
Some jurisdictions may not allow the exclusion of certain warranties or limitation of liability. To the extent permitted by applicable law, our liability will be limited as stated herein.
Updates, Modifications & Amendments
We reserve the right to modify these Terms of Service at any time. Please check this page regularly to stay updated. If you disagree with any changes, you must discontinue your use of our services immediately.
Applicable Law
These Terms shall be interpreted in accordance with the laws of Nigeria, or the jurisdiction of Logeestico's corporate registration.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Miscellaneous
You agree that all agreements, disclosures, and communications provided electronically satisfy any legal requirements. You may not assign or transfer your rights under these terms without our prior written consent. Logeestico reserves the right to assign or subcontract its obligations at its sole discretion.
